5- OKelly Librarys online databases are
collections of information, including scholarly
articles and even books in many subject areas. - In the business databases, find articles on
companies, news reports, financial reports,
company profiles, etc.
6Available information on a company depends on
whether it is public or private.
- Definitions of public company
-
- A company that is listed on the Stock
Exchange. The company's shares are available for
the public to invest in.www.personal-finance.gbr.
qc.com/personal-finance-uk.htm - A public company is a reporting company. The
company must file Form 10K and forms 10Q every
year with the SEC Security and Exchange
Commission.www.going-global.com/equity/finance-g
lossary.html
7- Public companies are required to file
reports, like the 10-K and 10-Q, with The SEC
(U.S. Security and Exchange Commission) ,
http//www.sec.gov. - Like an annual report, the 10-K explains the
company's business activities for the most recent
twelve-month operating period. The 10-K, which is
required to be filed with the Securities and
Exchange Commission (SEC) within 90 days of the
company's fiscal year end, typically contains
more detail than an annual report, such as more
thorough operating and financial statistics,
information on legal proceedings, and management
compensation.
8- Form 10-Q is a quarterly version of the 10-K
however, it is less detailed and generally
unaudited. The SEC requires publicly traded
companies to file form 10-Q within 45 days of the
end of each quarter, except the final quarter, in
which the 10-K is filed. (Explanations of 10-K
and 10-Q from The Motley Fool ,
http//www.fool.com/dripport/2000/dripport000106.h
tm)
9- Definitions of private company
- A company that does not permit the general
public to buy and sell its shares.wps.pearsoned.c
o.uk/wps/media/objects/1065/1090612/glossary.html
-
- Often, privately-held companies are owned by
the company founders and/or their families and
heirs, or by a small group of investors.
http//en.wikipedia.org/wiki/Private_company - Information on private companies is harder to
find than information on public companies because
private companies do not have to report
information to the SEC.
