  • To Develop a corporate governance model that
    would be representative of Knowledge Ontarios
    stakeholders
  • KO Board of Directors to focus on
  • Strategy and advocacy
  • Developing partnerships with public and private
    organizations
  • Ensure long term sustainable funding

Finding a Governance Model
  • Reviewed the structure and by-laws of a number of
    library consortia in Canada and the USA
  • Considered
  • how well each is representative of its
    constituent groups
  • its ability to involve stakeholders
  • its flexibility to accommodate change over the
    long-term

Recommended Model KO to be incorporated as a
non-profit corporation
  • Three Categories of Membership
  • Institutional Members Full and Limited
  • Associate Members
  • Sponsoring Members

Institutional Members
  • All public, university, college, school boards,
    are automatically members
  • Other members include archives, museums, agency
    libraries
  • Full and Limited Institutional Members will
    commit to providing onsite and remote access
  • Full Institutional members may also provide
    financial and in-kind contributions

Associate Members
  • Library Associations, consortia representing
    Institutional Members, other Associations
  • Associate members represent groups of
    stakeholders and those interested in KO
  • They may contribute by
  • Working in their sectors to nominate
    representatives to the Board and its Committees
  • Providing in kind expertise to building/
    maintaining KO
  • Promoting KO to their sector

Sponsoring Members
  • Public and private groups who contribute to KO by
    providing grants, gifts, or in-kind contributions

Membership Agreement
  • Members commit to KO through the signing of a
    Membership Agreement
  • Membership category
  • Right to nominate directors
  • Right to Vote
  • Timely response to provide nominations
  • Support for Knowledge Ontario

    will
  • Provide regular reporting
  • Carry out the approved mandate

  • Thirteen Directors
  • Eight Founding Directors
  • Five Directors at Large

Founding Directors
  • Founding sectors two founding directors from
    each of the College, University, Public and
    School Sectors
  • Founding Directors will be nominated by their
    sector (Institutional or Associate)
  • KO Board will work with sectors to determine
    criteria for nominations
  • Founding Directors will be confirmed by the KO
    Board

Directors - At - Large
  • Five Directors-at-large will be elected by the KO
    Board
  • Selected by the Board from nominations made from
    Institutional, Associate or Sponsoring Members,
    or from the Community of Users

  • Three Officers selected by and from the
    Directors
  • Chair
  • Vice-Chair
  • Secretary / Treasurer

    nominating their sector representatives for the
    Knowledge Ontario Board
  • By February 2007sectors nominate Directors
