Duties that Cannot be Delegated

  • When performance requires personal skill or

Effect of a Delegation
  • Delegator remains liable.
  • Delegatee liable if delegation contract
  • creates a third party beneficiary relationship
  • in the obligee.

  • performance directly benefits a third person.
