information, such as customer lists and contacts,
is the lifeblood of many businesses.

Due to the critical nature of the information it
is important that proper steps be taken to
prevent if from being misappropriated by
contractors and former employees. Initially, a
trade secret is information. If what you are
trying to protect is not information then it is
not a trade secret. Ideas are protected by
patents. Information is protected by trade secret
law. The confidential information must be
identifiable. If you cannot clearly specify what
the secret is then you have a concept and not a
secret. You need to be able to identify what is a
company secret and others with access to that
information must know they have access to
confidential information and what it is so they
can take steps to protect it.

The information must have value from not being
generally known to the public or competitors.
This is the basis for protecting confidential
information - it has value to the business.
Information that is not known to others, but
which does not have economic value, is not deemed
worth protecting in any event and is not a trade
secret. Finally, to be considered a secret a
business must take reasonable efforts to maintain
its confidentiality. What is reasonable depends
on the nature of the business, the nature of the
secret, and anything else that might be relevant
to this question. The more important the secret
the more effort should be engaged in protecting
it. Many businesses have employees sign contracts
listing type of company confidential information
and requiring that the employees agree to keep it
confidential.

This is a good step, but not the only step.
Simply stating something is a secret in a
contract does not make it a trade secret if in
fact it is not confidential. Another way of

employees with a need to know the confidential
information should have access. Access, where
possible, should only be obtainable via a
password. Some training should exist about
