The Partnership Agreement
  • Main purpose
  • Define conditions of co-operation among project
    partners
  • Divide responsibility of project implementation
    and finance among the lead partner and other
    project partners.
  • The Agreements will be signed between the lead
    partner (RRDA) and each project partner.

Subject of Agreement (I)
  • There are attached following annexes to the
    partnership agreement
  • The approval of application by the Baltic Sea
    Region INTERREG III B Neighbourhood Programme
    Steering Committee.
  • The subsidy contract between the managing
    authority of the CIP and the lead partner (RRDA).

Subject of Agreement (II)
  • The application form with amendments for the
    project RAIL BALTICA.
  • The project partners budget (separate budget for
    each project partner).

Duration of Agreement
  • The earliest date from which cost for the project
    can be considered as eligible is the day after
    the date of approval by the Steering Committee
    03.06.2005.
  • The Agreement will enter into force
    retrospectively from 03.06.2005 onward.
  • Termination of the Agreement - the date each of
    the partners receive their quotas of the final
    payment by the EU Commission to the CIP.

The Partners and Work-Packages (WP) activities
planning (I)
  • The partners, who responsible to carry out WP
    activities plan
  • Best solutions for internal information flow
  • Schedule of necessary contact meetings
  • Funding schemes for WP activities
  • Evaluation of WP results.
  • WP managing partner in co-operation with the lead
    partner is responsible to pass on WP activities
    plan to all project partners and other
    institutions involved.

The Partners and Work-Packages (WP) activities
planning (II)
  • The partners, who are involved in WP activities
  • Receive information about WP activities plan
  • Responsible for providing the necessary
    contribution in the WP implementation
  • Keep strongly all deadlines given by WP managing
    partner or the lead partner.

Modification
  • Before applying for reallocation of the project
    costs between budget lines or modification of the
    work plan, the lead partner shall obtain the
    approval of these partner, whom modification
    referred
  • About modification in the project the lead
    partner inform all project partners.

Reports (I)
  • Reports from each partner need to be sent till
    following dates
  • Milestone 1 till 1st February 2006
  • Milestone 2 till 1st August 2006
  • Milestone 3 till 1st February 2007
  • Milestone 4 till 1st August 2007
  • Milestone 5 one month after the official
    closing date of project
  • The lead partner will indicate the official
    closing date to the project partners in due time

Reports (II)
  • Report includes following parts
  • Activity report (for all partners)
  • An audited financial report and confirmation by
    independent auditor (for partners, who receive
    co-financing from INTERREG IIIB programme)
  • Reports must be sent by e-mail and by post.

Reports (II)
  • In case, if
  • the progress report by the partner is not
    submitted to the lead partner on time
  • the activities reported by the partner are not
    performed in practice
  • the activities reported by the partner are
    performed in bad quality
  • the lead partner may not approve the partners
    progress report and exclude the expenditure as
    eligible.
  • The lead partner may ask the project
    international Steering group to make the final
    conclusion of this question.

Information and publicity
  • The lead partner and the partners will implement
    jointly the project communication plan.
  • General information about the project partners
    and its activities can be published by managing
    authority of INTERREG IIIB programme

Confidentiality
  • During the project all confidential documents and
    other confidential elements must be with
    statement confidential.
  • All project partners must respect the
    confidential nature of this information.
  • This confidentiality clause shall remain in force
    for two years following the termination of this
    agreement.

Third parties
  • The partners are responsible for action of third
    party.
  • The partners must inform the lead partner about
    the subject and party of any contract concluded
    with a third party.

Non-fulfillment of obligations
  • The partner is obliged to inform the lead
    partner.
  • The lead partner shall contact the partner and
    resolve the difficulties within one month.
  • In case of further non-fulfillment of obligations
    the lead partner decide to exclude the partner
    with approval of the Steering Committee of
    INTERREG IIIB programme.
  • In case of excluding the partner, the lead
    partner may demand compensation from excluded
    partner.

Demand for repayment
  • In case managing authority of INTERREG IIIB
    programme demand repayment of subsidy already
    transferred, the lead partner need to repay it.
  • The partners are obliged to transfer its portion
    of the repayment amount to the lead partner
    within two weeks.

Working language
  • The official working language - English

Applicable law
  • The Partnership Agreement is governed by the
    Latvian law.

Further activities...
  • Planned that the Partnership Agreements project
    (English version) will be send out till 9th
    December 2005.
  • Each project partner need to inform the lead
    partner about the Agreement clauses where is
    necessary some modification.
  • After harmonization of the Agreement the lead
    partner will send out signed agreements with
    annexes.
