- Led by the senior independent director,
the non-executive directors should meet without
the chairman at least annually to evaluate the
chairmans performance, as part of a process,
which should be agreed with the board of
governors, for appraising the chair. -
- The non-executive directors met on 5 June
2007 to agree appropriate performance objectives
for the chairman and to have an initial
discussion on appropriate methods of gathering
performance feedback from appropriate parties
towards the end of the performance period. -

- 1. The chairman is responsible for leadership of
the board of directors and the board of
governors, ensuring their - effectiveness on all aspects of their role
and setting their agenda. - 2. The chairman is responsible for ensuring that
the two boards work together effectively. - 3. The chairman is also responsible for ensuring
that directors and governors receive accurate,
timely and clear - information that is appropriate for their
respective duties. - 4. The chairman should ensure effective
communication with patients, members, clients,
staff and other - stakeholders.
- 5. The chairman should also facilitate the
effective contribution of all executive and non
executive directors and - ensure that constructive relations exist
between executive and non-executive directors,
and between the - board of directors and the board of
governors. -

Health Social Care Act 2006, are embraced by
the Trusts - constitution and are, as described, outlined in

- BCH Constitution
- The BCH Core Constitution describes three more
responsibilities of the Chairman. - 9.8.4 It is for the Non-Executive Directors
(including the Chairman) to appoint or remove
(subject to the - approval of the Council of Governors)
the Chief Executive (and accounting officer). - 9.8.5 It is for a committee consisting of the
Chairman, the Chief Executive (and accounting
officer) and the - other Non-Executive Directors to
appoint or remove the Executive Directors. - 9.8.6 The Trust is to establish a committee of
Non-Executive Directors to decide the
remuneration and - allowances, and the other terms and
conditions of office, of the Executive Directors.

- Leadership of the Council of Governors

- Develop and implement training and teach-in
sessions for the Governors to assist them to
enhance their understanding of such subjects as
finance, performance and strategy in BCH. -
- Continue the programme of events and actions to
assist the Governors in getting to know BCH and
its various facets, for example through the Staff
Awards evening (June), Red Balloon event (May)
and Fundraising events throughout the year. -
- Continue meeting Governors individually to assist
them in their understanding of their role and
that of the Board. -
- Identify and create opportunities for the Council
of Governors and the Board of Directors to get
to know each other and to appreciate each
others roles, for example through informal
networking events. -
- Working with the Director of Governance and the
Trust Board Secretary, ensure timely, accurate
and relevant information for the Council of

- Performance Evaluation
- When? November-December 2007 with
respect to the period since 1 February 2007 - How? Assessing achievement of these
objectives is partly establishing the activities
that actually take - place during the period
and partly establishing and evaluating the
outcome and the effectiveness - of these activities in
contributing to achieving the objectives. - The chairmans office will
maintain a record of activities undertaken by the
Chairman. - These will be reviewed
with the chairman at the end of the period and
commented upon in the - summary of confidential
feedback on overall performance. -
- Confidential feedback will
be requested and gathered from the Council of
Governors, the Board - of Directors and
appropriate other persons, together with
constructive suggestions for the - following period.
