approximately 8-10 cents to AsiaInfos 2002 EPS

management shareholders will be adjusted based on
Bonsons 2001 audited net income and net revenue
backlog at year-end (2) AsiaInfo stock

share expansion due to the stickiness of BOSS
solutions and time-to-market considerations - AsiaInfo will lead a new round of consolidation
of the BOSS market in China through this
acquisition - The domestic BOSS market has largely been
fragmented with over a dozen of vendors servicing
China Mobile and China Unicom - However, the operators have begun re-defining
vendor relationships and looking for strategic
partners with size, technology and significant
resources

- Mr. James Ding and Mr. Jian Lee will co-chair
this integration committee supervising this

of AsiaInfo and a member of the Companys
Executive Committee - We will begin integrating RD and delivery team
over the next 3-6 months - We expect further cost savings from streamlining
Bonsons current business lines and eliminating
overlaps between the two teams
