Transaction Highlights

    entered into a definitive agreement to acquire
    100 of Bonson Information Technology Holdings
    Limited (Bonson) for approximately US47
    million
  • Headquartered in Guangzhou, Bonson is a leading
    wireless Business Operations Support System
    (BOSS) solutions provider in China
  • This acquisition will vault AsiaInfo to
    undisputed No. 1 position in the wireless BOSS
    market in China, one of the fastest growing areas
    of telecom investment over the next few years
  • This acquisition will be highly accretive to
    AsiaInfos financials, expected to add
    approximately 8-10 cents to AsiaInfos 2002 EPS

management shareholders will be adjusted based on
Bonsons 2001 audited net income and net revenue
backlog at year-end (2) AsiaInfo stock
will be issued at US19.22 per share Stock
